Terms of Service

1. Agreement to Terms

By accessing or using the Veruno.AI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

"Veruno," "we," "us," and "our" refer to Veruno.AI, operated by OpsHero, Inc. "You" and "your" refer to you, the individual or entity using the Service.

2. Description of Service

Veruno.AI provides access to specialized AI agents organized by business department. These agents are powered by third-party large language models and perform tasks including but not limited to research, analysis, content generation, data processing, and reporting based on your instructions.

AI agents are tools designed to assist your team. They do not replace professional judgment. You are responsible for reviewing, validating, and approving all agent outputs before acting on them.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

You must be at least 18 years old and have the legal capacity to enter into these Terms. The Service is intended for business use.

4. Free Trial

We may offer a free trial period during which you can access a limited version of the Service at no cost. The trial period, agent limits, and task limits are specified at signup. No credit card is required for the trial.

At the end of your trial, your account will transition to read-only mode. Your data will be preserved. You may upgrade to a paid plan at any time to restore full access. We reserve the right to modify or discontinue the free trial at any time.

5. Subscription Plans and Payment

Paid plans are billed monthly in advance. Prices are listed on our pricing page and may change with 30 days' written notice. Payment is processed through Stripe. You authorize us to charge your payment method on a recurring basis.

Upgrades take effect immediately with prorated charges. Downgrades take effect at the start of the next billing cycle. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months.

If payment fails, we will attempt to charge your payment method again. After repeated failures, your account may be suspended. You remain responsible for any outstanding charges.

6. AI Agent Outputs and Limitations

AI agents generate outputs based on instructions you provide and the capabilities of the underlying language models. These outputs are provided "as is" and may contain errors, inaccuracies, or omissions.

  • Agent outputs do not constitute professional advice (legal, financial, medical, or otherwise).
  • You are solely responsible for verifying the accuracy and appropriateness of all outputs before use.
  • Agents may produce different results for the same input due to the probabilistic nature of AI models.
  • We do not guarantee that agent outputs will be error-free, complete, or suitable for any particular purpose.
  • Industry-specific agents (healthcare, legal, financial) are assistive tools only and do not replace licensed professionals.

7. Your Data

You retain ownership of all data you provide to the Service ("Your Data"). You grant us a limited license to process Your Data solely to provide the Service. We will not use Your Data to train AI models or share it with other customers.

Your Data is isolated at the infrastructure level. Each customer operates within a separate organizational boundary. See our Privacy Policy for details on how we handle your information.

You are responsible for ensuring that Your Data does not violate any applicable laws or third-party rights. Do not submit data that you do not have the right to process.

8. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the Service for any unlawful, harmful, or abusive purpose.

9. Intellectual Property

The Service, including its design, software, agent templates, system prompts, and documentation, is owned by Veruno.AI and protected by intellectual property laws. You may not copy, modify, reverse engineer, or create derivative works from the Service.

Outputs generated by agents using your instructions and data are yours. We claim no ownership over agent outputs produced from Your Data. However, the underlying agent configurations, prompts, and orchestration logic remain our intellectual property.

10. Third-Party Services

The Service relies on third-party AI model providers, infrastructure services, and APIs. We are not responsible for the availability, performance, or policies of these third-party services. Changes to third-party services may affect the functionality of our agents.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERUNO.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL ARISING OUT OF YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Veruno.AI, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through the billing settings in your dashboard. We may suspend or terminate your access if you violate these Terms or our Acceptable Use Policy.

Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days after termination, during which you may request an export. After 30 days, Your Data will be permanently deleted.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance. If you disagree with the changes, you may cancel your subscription.

16. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Fairfax County, Virginia.
